Terms of Service

These Terms of Service ("Terms") govern your access to and use of the qifix desktop application and any related services (collectively, the "Service"), operated by Kennedy & Price, Inc. ("Kennedy & Price," "we," "us," or "our"). By installing, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. You are responsible for providing accurate account information, maintaining the confidentiality of your credentials, and all activity under your account. You must promptly notify us at security@qifix.app if you suspect unauthorized use of your account.

2. Description of the Service

qifix is a desktop application that helps users download, review, categorize, and export transaction data from their own financial institutions using connectivity provided by Plaid Inc. ("Plaid"). The Service produces files in QIF, OFX, and related formats for import into third-party personal finance applications such as Quicken and GnuCash.

Kennedy & Price is not a financial institution, money transmitter, investment advisor, broker-dealer, tax preparer, accountant, or legal advisor. The Service does not move money, execute trades, or provide financial, tax, or legal advice. You are solely responsible for the accuracy of any data you import into third-party applications and for any decisions you make based on that data.

3. Your financial institution and Plaid

To retrieve transactions, you authenticate to your financial institution through Plaid Link and grant Plaid permission to share the resulting data with us. Your use of Plaid is subject to the Plaid End User Privacy Policy and the terms presented to you in Plaid Link. You represent that you have the legal right to access and share the financial accounts you link, and that you will not link accounts belonging to others without their authorization.

4. License

Subject to these Terms, Kennedy & Price grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Service on devices you own or control for your personal or internal business use.

5. Acceptable use

You agree not to:

• Reverse engineer, decompile, or attempt to derive source code from the Service, except to the extent this restriction is prohibited by applicable law.
• Probe, scan, or test the vulnerability of the Service, or breach or circumvent any security or authentication measure, without prior written authorization from Kennedy & Price.
• Use the Service to infringe the rights of any third party, violate any law, or transmit malware or other harmful code.
• Access data belonging to another user or financial account you are not authorized to access.
• Resell, rent, or redistribute the Service or use it to provide a competing service without our prior written consent.
• Interfere with the operation of the Service, including by imposing an unreasonable load on our infrastructure.

6. Beta features

Portions of the Service may be identified as "beta," "preview," or "experimental." Such features are provided "as is," may change or be withdrawn at any time, and may have reduced reliability, security, or availability compared to generally available features. Your use of beta features is at your own risk.

7. Fees

During the beta program, the Service is provided free of charge. Future paid tiers may be offered; in that case, fees, billing terms, and refund policies will be presented to you before you incur any charge, and your continued use after acceptance will indicate your agreement to those terms.

8. Intellectual property

The Service, including all software, trademarks, logos, and content provided by us, is the property of Kennedy & Price or our licensors and is protected by intellectual property laws. Except for the license expressly granted in Section 4, we reserve all rights. You retain all rights in the data you import into or export from the Service.

9. Your data

You retain ownership of your personal and financial data. You grant Kennedy & Price a limited license to host, process, and transmit your data solely as necessary to provide the Service, to maintain security and integrity, and to comply with law. Our handling of personal data is further described in our Privacy Policy.

10. Third-party services

The Service integrates with third-party services, including Plaid and your financial institution. We are not responsible for third-party services, their availability, or their terms, and your use of them is at your own risk and subject to their terms.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected. We do not warrant the accuracy, completeness, or timeliness of transaction data retrieved from your financial institution through Plaid.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KENNEDY & PRICE AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, arising out of or relating to the Service, whether based in contract, tort, strict liability, or otherwise, even if we have been advised of the possibility of such damages. Our aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the 12 months preceding the event giving rise to the claim, or (b) fifty U.S. dollars ($50).

13. Indemnification

You agree to indemnify, defend, and hold harmless Kennedy & Price and its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any law or the rights of a third party.

14. Termination

You may stop using the Service at any time and request deletion of your account by emailing privacy@qifix.app. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or if required by law. Sections 5, 8, 9, 11, 12, 13, 15, and 16 survive any termination.

15. Governing law and disputes

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction.

16. Changes to these Terms

We may modify these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by updating the "Last updated" date and, where appropriate, notifying you by email or in-app). Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
